5.1 In the event that a candidate leaves the employment relationship within three (3) months of the start of the start-up, the Client must inform the Consulting Firm in writing within seven (7) days of termination. The consulting firm undertakes, at its sole discretion, to deliver a replacement without replacement. 3.1 It is the customer`s responsibility to place a corresponding order before the candidate`s start date. The Client`s default will in no case be accepted as a reason for non-payment of the consultation fees in accordance with the payment terms agreed between the Council and the Client. 3.13 In the event that a candidate presented by the Consulting Firm to the Client is already known to the Client through direct contact or contact through another Consulting Firm, the Client must inform the Firm within four (4) working days of the introduction. Failure to comply will result in the Client`s obligation to pay a placement fee within 12 months of the introduction if this candidate is adopted. In any event, the fee shall be equal to the sum that would have been due if the initial introduction had given rise to an undertaking. 5.4 In the event that the Consulting Firm is unable to find a suitable replacement candidate within six (6) weeks of notification, provided that the Client does not use the services of other agencies or other alternative methods or cause an unreasonable delay in the interview process, the Consulting Firm will reimburse part of the fees as follows: 10.2 If the Client breaches these Terms, the Consulting Firm reserves the right to charge the Client a penalty fee equal to the value of the initial placement fee for the Candidate. .
